Definitions

  • Company:  means Nicholas Hill Academy Ltd of which company number 6613294
  • Staff: means an employee or representative of the Company
  • Client: means a Company client or a user of the Products
  • Participant: means a participant of Company courses, programmes, workshops, seminars, keynotes
  • Contractor: means a supplier of external products or services
  • Product: means a Company product or service supplied, including those chargeable, complimentary, digital, and physical

Purpose

The Company works hard to avoid conflict between its interests and those of Staff, Clients, Participants, and Contractors. This policy intends to protect the interests of The Company by ensuring the personal affairs of other parties do not interfere with their obligations to the company. This policy also aims to prevent any unauthorised or unethical third-party gain. It supplements any existing governmental laws in which the Company operates.

Disclosure

All interested parties are obliged to disclose any actual or perceived conflict of interest before working with the Company. In the event of revealed non-disclosure, the Company will take immediate and appropriate action.

Examples

Conflicts of interest include Company relationships with Staff, Clients, Participants, and Contractors who:

  • Offer similar Products
  • Operate a competing business in the learning and development industry
  • Have dealings with Company employees, clients, associates, and suppliers with whom they have a personal relationship, including family ties
  • Have dealings with Company employees, clients, associates, and suppliers with whom they have other vested interests

Investigations

If a conflict of interest becomes known, the Company will investigate the matter to attain all related facts. The Company expects all concerned parties to disclose relevant data to assist its investigations. Disclosures include information, relationships, and positions held that could result in a conflict of interest. This written statement will be kept on file and updated as appropriate. If the Company decides no conflict of interest exists, it will record the matter in its files but take no further action.

Actions

The Company reviews all conflicts of interest cases on a case-by-case basis without bias and with discretion. The Company managing director makes the final decision on any disciplinary action. If they decide that an actual conflict of interest exists, they will take the appropriate action and seek a solution. The Company will subsequently notify the respective Staff, Clients, Participants, and Contractors of its findings and proposed solutions. Such measures might include renegotiation or termination of contracts.
